Control over economic concentration in Russia and CIS:

- Timeframes for control over economic concentration in different jurisdictions;
- Requirements for provided documents and list of documents that need to be submitted to the antitrust authorities;
- Possibility of prior discussion of transactions with the antitrust authorities and possibility to influence the process of examining applications;
- Influence of political interest on the process of examination of applications;
- Approval of a transaction under a condition: meaning and type of conditions (structural, behavioral), timeframes for performance;
- The role of third parties in the process.

Description of the session:
The 4thsession in the form of discussion/round table will be aimed at analyzing M&A market in 2010 in the most important jurisdictions. At first the last important trends in M&A market of the USA will be discussed. Further we’ll discuss if these trends are seen in Europe, including Russia and countries of CIS, what changes are there. We are also planning to discuss conditions of M&A-transactions for strategic investors and investment funds, changes in auction procedures and influence of the financial crisis on M&A structure.

11-20 Session 6 M&A dispute resolution

Description of the session:
Protecting business interests in M&A disputes:  can justice be fast, fair and cheap?  This panel will feature a debate with corporate users and litigators about client expectations from dispute settlement in M&A transactions and whether these expectations are met.  The speakers will take a critical look at the various means of dispute resolution, including domestic litigation, expert determination, mediation, and arbitration.  They will discuss the various techniques of saving costs and time, and business relationship in the contentious context.  Dilatory tactics and defenses against them will also be addressed.

Description of the session:
This panel will discuss tax and legal implications of cross-border M&A transactions in their jurisdictions. The discussion will focus on recent trends and development in the market, in the approach of tax authorities, as well as recent jurisprudence including Vodafone case (India). Exchange of views by experts from several jurisdictions will result in panel discussion. Issues of anti-avoidance and managing tax risks will be also addressed.
